Charles G. Klink, Esq.
Charles G. Klink, Esq. is a corporate and securities attorney. He is a member of the New York and California Bar Associations and is licensed in those states. With over two decades of experience in nationally recognized law firms and as in-house counsel at financial advisory and other firms, Mr. Klink has an extensive background in documenting and negotiating corporate financing, entity formation, mergers and acquisitions, bankruptcy and general business transactions. Mr. Klink has also handled numerous public and private placements of debt and equity securities for a variety of companies throughout his legal career. Transactions in which Mr. Klink has been involved include various types of securities offerings, acquisitions for large public companies and medium-sized privately held firms, as well as various "start-up" technology companies. Mr. Klink has also worked extensively as outside lender’s counsel to various financial institutions on revolving lines of credit and senior debt financings. As such Mr. Klink is familiar with convertible debt financings, sometimes referred to as “toxic debt” financing.
Klink spent several years as outside general counsel to MNA Holdings, LLC, a boutique advisory firm that specialized in corporate acquisitions. Immediately prior to that role, Mr. Klink was a partner in corporate and transactional group of the Los Angeles, California office of the law firm of Manatt, Phelps & Phillips, LLP, specializing in mergers and acquisitions, corporate and securities law.
Mr. Klink is the co-author of a book chapter entitled "Treatment of Intellectual Property in Bankruptcy" in the successful textbook, "Intellectual Property in the Global Marketplace", published by John Wiley & Sons, Ltd.
Mr. Klink received his Bachelor of Arts degree from Pomona College in Claremont, California in 1987. Mr. Klink was a National Merit Scholarship Finalist. During each of his four years at Pomona, he was an Uhlmann Scholar.
A 1992 graduate of the UCLA School of Law, Mr. Klink is admitted to practice in both New York and California. He is a member of the American Bar Association and the California Bar Association. Mr. Klink has been a guest lecturer at the UCLA School of Law. Mr. Klink has been a member of the Association of Mergers and Acquisition Advisors and the Association for Corporate Growth.
